This Agreement is made and entered into by and between:
ICYFLAME LTD, a company registered under the laws of Kenya with its principal place of
business at [Company Address], hereinafter referred to as the “Platform” or “ICYFLAME”;
AND
[Vendor Business Name], a business duly registered in Kenya under registration number
[Vendor Registration Number], with its principal place of business at [Vendor Address],
hereinafter referred to as the “Vendor.”

1. PURPOSE
This Agreement governs the relationship between ICYFLAME and the Vendor regarding the
listing, promotion, and sale of the Vendor’s products on ICYFLAME’s online marketplace
platform (www.icyflameshop.com).
2. VENDOR OBLIGATIONS
The Vendor agrees to:
• Provide accurate product listings, descriptions, prices, and stock levels.
• Ensure all products listed are genuine, safe, and comply with Kenyan laws (KEBS,
Pharmacy & Poisons Board, etc.).
• Handle order packaging and deliver products to the dispatch point within the agreed
timeframe.
• Respond promptly to customer inquiries or complaints directed to them.
• Not engage in the sale of counterfeit, illegal, or banned products.
3. COMMISSIONS & FEES
• ICYFLAME will earn a commission of [insert agreed percentage, e.g., 10%] per
sale.
• No VAT will be charged by ICYFLAME on top of the vendor’s selling price.
• Commissions will be deducted automatically before payouts to the Vendor.
• The Vendor will receive payouts every [e.g., Monday/Weekly/14 days], via MPesa/Bank.
4. PAYMENT TERMS
• Payouts will be made once the product has been confirmed delivered to the
customer.
• In cases of refunds or returns, ICYFLAME may deduct applicable amounts from
future payouts.
5. PRODUCT RETURNS & REFUNDS
• Vendors must allow returns if:
o The product is defective, expired, or not as described.
o Return requests are made within 7 days of delivery.
• ICYFLAME reserves the right to process refunds on behalf of customers in line with
the return policy.
6. PRODUCT OWNERSHIP & LIABILITY
• All products listed remain the Vendor’s responsibility until delivered to the
customer.
• The Vendor is liable for any claims arising from counterfeit, harmful, or
misrepresented products.
7. PLATFORM RIGHTS
ICYFLAME reserves the right to:
• Delist any product violating platform policies or Kenyan law.
• Suspend or terminate vendors who breach this agreement.
• Use vendor product images and details for promotional purposes.
8. TAXES & STATUTORY OBLIGATIONS
• The Vendor is solely responsible for remitting any applicable taxes (e.g., income tax,
turnover tax) to the Kenya Revenue Authority (KRA).
• ICYFLAME will not deduct or remit VAT on behalf of the Vendor unless otherwise
required by law.
9. TERM & TERMINATION
• This Agreement is valid for one year from the Effective Date and renews
automatically unless terminated by either party with 30 days’ notice.
• ICYFLAME may terminate the agreement immediately in cases of fraud,
counterfeits, or repeated violations.
10. GOVERNING LAW
This Agreement shall be governed and interpreted in accordance with the laws of the
Republic of Kenya.
11. DISPUTE RESOLUTION
Disputes shall first be resolved amicably. If unresolved, they will be referred to arbitration
in Nairobi, per the rules of the Chartered Institute of Arbitrators (Kenya Chapter).
12. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between both parties and supersedes
any prior discussions.
